Terms of Service

Effective Date: January 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Aequis™ platform operated by IdaMil™ LLC ("IdaMil," "we," "us," or "our"). By accessing or using Aequis, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Aequis, you confirm that you are at least 18 years of age, are authorized to practice law or are employed by a law firm, and agree to comply with these Terms. If you are using Aequis on behalf of a firm or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Aequis is a cloud-based practice management platform built exclusively for family law practitioners. The platform includes case management, child support and spousal support calculators for all 50 states + DC, AI-assisted research and document review, a secure client portal, workflow automation, and reporting and analytics tools.

3. Account Registration & Security

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Authentication is managed through Clerk, our identity provider. You must notify us immediately at customer.support@idamil.com if you suspect unauthorized access to your account.

4. Subscription & Billing

Aequis is offered on a subscription basis with pricing published on our website. All billing is processed through Stripe. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time, and cancellation takes effect at the end of the current billing period. Pro-rated refunds are available for annual subscriptions cancelled within the first 30 days. IdaMil reserves the right to modify pricing with 30 days' written notice.

5. Acceptable Use

You agree to use Aequis only for lawful purposes and in compliance with all applicable laws, regulations, and rules of professional conduct. You may not use the platform to engage in any illegal activity, attempt to gain unauthorized access to any part of the platform or its infrastructure, interfere with or disrupt the integrity or performance of the service, upload malicious code or content, or resell, sublicense, or redistribute access to the platform without authorization.

6. Intellectual Property

The Aequis platform, including its source code, design, documentation, and all associated intellectual property, is owned by IdaMil LLC. Aequis™ and IdaMil™ are trademarks of IdaMil LLC. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

7. User Data & Content

You retain full ownership of all data, documents, case information, and other content you upload or create within Aequis. We do not claim any ownership rights over your content. We access your data only as necessary to provide, maintain, and improve the service, and as described in our Privacy Policy. You are responsible for ensuring that your use of Aequis complies with your obligations of client confidentiality and applicable data protection laws.

8. AI-Generated Content Disclaimer

Aequis includes AI-powered features for case research, document review, and content suggestions. These features are assistive tools designed to support — not replace — professional legal judgment. AI-generated output may contain errors, omissions, or inaccuracies. All AI output must be reviewed and verified by a licensed attorney before use in any legal proceeding or client communication. IdaMil does not guarantee the accuracy, completeness, or legal sufficiency of any AI-generated content. Use of AI features does not create an attorney-client relationship between IdaMil and any user or their clients.

9. Limitation of Liability

To the maximum extent permitted by law, IdaMil LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of Aequis. Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to IdaMil in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless IdaMil LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time. Upon cancellation of your subscription, you will have 30 days to export your data. After 30 days, your data will be scheduled for deletion in accordance with our Privacy Policy. IdaMil reserves the right to suspend or terminate your access immediately if you violate these Terms or engage in conduct that is harmful to other users or the platform.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising under these Terms shall be resolved through binding arbitration conducted in the State of Ohio under the rules of the American Arbitration Association. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of any material changes by email and by posting the updated Terms on this page. Your continued use of Aequis after the effective date of the revised Terms constitutes acceptance of the changes.
